This agreement is between you (the photographer, "you") and Brooklyn Film Camera, 855 Grand St, Brooklyn NY 11211 ("BFC", "we"). You accept it once, the first time you submit photos. It covers every photo you submit until we post a new version and you accept it.
1. What you're sending. You choose which photos to submit. For each photo you tick the uses you allow: (a) social media and ads, (b) prints, (c) BFC Stock. We review each use separately and may decline any of them.
2. You keep the copyright. You own your photos. This agreement gives BFC a license to use them only as described here.
3. License for social media and ads. If you tick this box and we approve it, you give BFC a non-exclusive, worldwide, royalty-free license to post, share and reproduce the photo on BFC's social media accounts, website, emails, in-store displays, printed marketing and paid advertising (including ads on social media, search and other websites), and to crop or resize it to fit. We credit you by name or handle where the format allows. This use is not paid.
4. License for prints. If you tick this box and we approve it, you give BFC a non-exclusive license to sell physical prints of the photo through BFC's print shop, in the sizes and papers we offer. For each print sold you receive 50% of Net Revenue (section 6).
5. License for BFC Stock. If you tick this box and we approve it, you give BFC a non-exclusive license to list the photo in BFC Stock, our stock library, and to grant licenses to third parties under BFC's Stock License Terms. For each license sold you receive 50% of Net Revenue. BFC may change license prices and tiers.
6. Payment. "Net Revenue" means what BFC receives for the print or license, minus sales tax, payment processing fees, refunds, and for prints the cost of printing and packaging. We pay monthly through Stripe once you are owed $25 or more. You must give us payout details before your first payment. You are responsible for your own taxes; we may ask for a W-9 or W-8.
7. Your promises. You confirm that: you took the photo yourself; it is not copied from anyone else; you have the right to grant these licenses; and, for every recognizable person in the photo, you have their permission (a parent or guardian's for anyone under 18) to share it with BFC for the uses you ticked. If you attach a signed release, it is genuine. Without an attached release, BFC licenses that photo for editorial use only. If anyone withdraws permission, tell us and we'll take the photo down under section 8.
8. Taking a photo down. You can ask us to remove any photo from any use at any time from your My Photos page or by email. We will stop new sales and remove it from our accounts and site within 30 days. Prints already sold, licenses already granted, and posts that others have shared stay in place.
9. Credit and edits. We may crop, resize and lightly adjust color for a format. We will not otherwise alter the photo or present it as someone else's work.
10. Ending this agreement. Either of us can end this agreement with written notice. Section 8 then applies to all your photos. Sections 6 (for money already earned), 7 and 11 continue.
11. Responsibility. If a photo breaks your promises in section 7 and someone makes a claim against BFC, you agree to cover BFC's reasonable costs from that claim. BFC's total liability to you under this agreement is limited to the amounts we owe you under section 6.
12. Changes. We may update this agreement. We will post the new version and ask you to accept it before your next submission; photos already approved stay under the version you accepted.
13. Law. New York law governs this agreement.
